Welcome to Big Masterz Hub. These Terms & Conditions (“Terms”) govern your use of our music distribution, publishing administration, royalty collection, and related services. By registering with us, submitting Content, or accessing our platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Definitions

• The Company: Refers to Big Masterz Hub.
• Artist: Any individual, group, or rights holder submitting music, audiovisual works, or related materials for distribution or publishing.
• Content: All audio recordings, musical works, compositions, artwork, metadata, or related materials submitted by the Artist.
• Royalties: All earnings derived from the exploitation of Content, including but not limited to performance royalties, mechanical royalties, digital streaming income, neighboring rights, and synchronization fees.
• DSP: Digital Service Providers such as Spotify, Apple Music, YouTube, TikTok, Amazon Music, and other licensed platforms.

2. Services

Big Masterz Hub provides worldwide distribution, publishing administration, sync licensing, and royalty collection services. We work with global collection societies, DSPs, and licensing partners to ensure that Artists’ works are made available, monetized, and reported in line with international standards.

3. Accounts & Eligibility

• You must be at least 18 years old (or the age of majority in your country) to create an account, or have the consent of a legal guardian.
• You are responsible for maintaining the confidentiality of your account login details and for all activities conducted under your account.
• Big Masterz Hub reserves the right to suspend or terminate accounts suspected of fraudulent, infringing, or unlawful activity.

4. Rights & Ownership

All intellectual property rights in the Content remain with the Artist unless otherwise agreed in writing. By submitting Content, the Artist grants Big Masterz Hub a non-exclusive, worldwide, royalty-bearing license to distribute, administer, monetize, and promote the Content on behalf of the Artist across all applicable platforms and territories.

5. Royalties & Payments

• Royalties are calculated based on usage reports from DSPs, collection societies, and licensing partners.
• Payments will be made according to the revenue splits agreed by the Artist and other rights holders (split sheets or publishing agreements must be accurate and up to date).
• Big Masterz Hub will deduct applicable fees, commissions, and taxes before making payments.
• Payouts are made via supported payment methods (e.g., Payoneer, PayPal, or bank transfer). Artists are responsible for providing valid and accurate payment information.
• We reserve the right to withhold payments if fraud, copyright disputes, or conflicting ownership claims arise.

6. Reporting

Royalty reports will be provided periodically as received from DSPs and partners. Big Masterz Hub is not responsible for delays or inaccuracies in third-party reporting but will take reasonable steps to ensure transparency and accuracy.

7. Compliance with International Laws

All Content must comply with applicable copyright laws, including the Berne Convention, WIPO Copyright Treaty, and other global intellectual property treaties. Content that infringes third-party rights, contains unauthorized samples, or violates applicable law will be removed, and associated accounts may be suspended.

8. Warranties & Representations

• The Artist warrants that they own or control all rights in the Content submitted, including necessary licenses, consents, and clearances.
• The Artist warrants that Content does not infringe copyright, trademark, publicity rights, or any other third-party rights.
• The Artist agrees to indemnify and hold harmless Big Masterz Hub against any claims, damages, or expenses arising from a breach of these warranties.

9. Prohibited Content

Artists may not upload or distribute Content that is unlawful, defamatory, obscene, hateful, discriminatory, promotes violence, or violates intellectual property rights. Big Masterz Hub reserves the right to reject or remove such Content at its discretion.

10. Termination

• Artists may terminate their account with written notice.
• Big Masterz Hub may suspend or terminate services if these Terms are violated, or if required by law or partner platforms.
• Outstanding royalties will be paid subject to applicable deductions and dispute resolutions.

11. Limitation of Liability

Big Masterz Hub shall not be liable for indirect, incidental, or consequential damages, nor for delays caused by third-party platforms, DSPs, collection societies, or force majeure events outside of our reasonable control.

12. Data Protection & Privacy

We respect your privacy and will only process personal data in accordance with international data protection laws, including the GDPR (EU), CCPA (California), and applicable national privacy regulations. Please see our Privacy Policy for more information.

13. Indemnification

Artists agree to defend, indemnify, and hold harmless Big Masterz Hub, its affiliates, and partners against any losses, damages, or legal claims arising from submitted Content, breach of these Terms, or misuse of the services.

14. Dispute Resolution

In the event of a dispute, the parties agree to attempt resolution through good faith negotiation. If unresolved, disputes shall be settled through arbitration under internationally recognized rules, unless otherwise required by local law.

15. Governing Law

These Terms are governed by international copyright principles and the laws of Kenya, without regard to conflict of law principles. Jurisdiction shall rest with the courts where Big Masterz Hub is registered, unless international arbitration is mutually agreed.
